Paz.ai Terms of Use

1. Introduction and Acceptance

AgentPass, Inc., doing business as Paz.ai ("Company", "AgentPass", "Paz.ai", "we", "us", or "our") is the owner and operator of the Paz.ai Agentic Commerce Platform ("Platform") that enables AI agents to interact with our business partners' ("Partners") ecommerce systems, websites, platforms, applications, or other digital assets ("Partner Systems"). These Terms of Use ("Terms") govern your access to and use of our Platform and related services ("Services"), including our website at https://www.paz.ai ("Website").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree with these Terms, you must not access or use our Services.

Acceptance of Terms

Please read these Terms carefully before using our Services. By clicking "I Agree", creating an account, accessing our Services, or using our Platform in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms. These Terms constitute a binding and enforceable legal contract between you and AgentPass, Inc.

User Categories

These Terms apply to all users of our Services, including:

• End-Users: Individuals who discover, browse, or interact with Partner products through AI agents and assistants whose results are informed by our Platform
• Partners: Businesses, merchants, retailers, and other commercial entities who integrate our Platform with their ecommerce systems
• Visitors: Individuals who access our Website or documentation

All categories are collectively referred to as "you" or "Users" in these Terms.

2. Eligibility and Age Requirements

By using our Services, you represent and warrant that:

• You have the legal capacity to enter into binding contracts
• You are not barred from using the Services under applicable laws
• You are not located in a country subject to U.S. government embargo or designated as a "terrorist supporting" country
• You are not listed on any U.S. government list of prohibited or restricted parties
• You are at least 16 years of age or the minimum age of digital consent in your jurisdiction, whichever is higher
• If representing an organization, you have authority to bind that organization to these Terms

3. Description of Services

Our Platform

Paz.ai provides an AI visibility and product-catalog platform that helps Partners get their products discovered, understood, and recommended by AI shopping agents and assistants (such as ChatGPT, Google AI, Perplexity, and others). Our Platform monitors how Partner products appear across AI shopping experiences, provides catalog optimization and enrichment tools, distributes enriched product feeds to AI commerce channels, and offers analytics, including an optional traffic and conversion-attribution pixel that Partners may install on their own websites to measure traffic referred from AI platforms. Our Platform supports various protocols and integration methods, including the Agentic Commerce Protocol (ACP) and the Model Context Protocol (MCP).

For End-Users

When you interact with an AI agent or assistant (such as ChatGPT, Claude, Gemini, or others) whose results are informed by our Platform, the Platform helps surface and present Partner product information, including:

• Product Discovery: Discover and learn about Partner products through natural language
• Product Information: Access enriched product details, attributes, and availability presented by the AI agent or assistant
• Click-Through: Follow links to the Partner's own website or storefront to learn more or to make a purchase

Important Notice: Paz.ai is an intelligence and product-data layer. We do not operate a store, process payments, host carts or checkout, set prices, fulfill orders, or provide customer service for purchases. We do not store or process your payment information. Any purchase you make happens directly on the Partner's own website or storefront and is subject to the Partner's terms and policies.

4. Account Registration and Security

To access certain features of our Services, you may be required to register for an account. When you register, you agree to provide accurate, current, and complete information and to keep that information updated.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately at security@paz.ai of any unauthorized use of your account or any other breach of security.

We reserve the right to suspend, disable, or terminate any account that we reasonably believe has been used in violation of these Terms or applicable law. We are not liable for any loss or damage arising from your failure to safeguard your credentials.

5. License Grant

Subject to your continued compliance with these Terms, we hereby grant you a personal, limited, revocable, non-transferable, non-sublicensable, and non-exclusive right and license to access and use the Platform and Services (including all updates thereto) solely in connection with your lawful use as permitted under these Terms.

Partners' use of the Platform in connection with their ecommerce systems is additionally governed by any separate agreement entered into between the Partner and us. Except as expressly granted herein, we retain all right, title, and interest in and to the Platform and Services.

6. Intellectual Property Rights

You acknowledge that all right and interest in the Platform and Services, including any underlying technology, trademarks, service marks, components, code, protocols, software, and documentation, as well as any derivatives thereof or improvements and modifications, evidenced by or embodied in or attached, connected, or related to the Platform and Services, are our property or the property of our licensors, and are protected by international copyright, trademark, patent, and other proprietary rights and laws relating to trade secrets, recognized in any country or jurisdiction worldwide, including, without limitation, moral or similar rights.

You may not use, delete, alter, or remove any copyright, trademark, or other proprietary rights notice placed in the Platform or Services. Except as expressly granted herein, we retain all right, title, and interest in and to our Platform and Services. We reserve the right to disable use of the Platform or Services by anyone who uses them to infringe intellectual property rights.

7. Acceptable Use and Prohibited Conduct

Except as expressly provided under these Terms, you may not, nor may you enable anyone else to, directly or indirectly:

• copy, modify, decompile, disassemble, create any derivative works of, or reverse engineer the Platform or Services or any portion thereof, including any source code therein;
• circumvent, disable, or otherwise interfere with security-related features of the Platform or Services, or interfere with others' use of the Platform or Services;
• use any automated devices, such as spiders, robots, or data mining techniques, to catalog, download, store, reproduce, or distribute content available in the Platform or Services, or to manipulate the Platform or Services in any manner, except as expressly authorized by us;
• remove, deface, obscure, or alter any copyright, trademarks, or other proprietary rights notices;
• use our name, logo, or trademarks without our prior written consent; or
• use the Platform or Services for any fraudulent, illegal, or inappropriate purpose, including, without limitation, infringement or misappropriation of any intellectual property rights or right of privacy of any third party or in breach of these Terms.

8. User Representations and Warranties

You hereby represent and warrant that: (i) you will use the Platform and Services only in accordance with our instructions and these Terms; and (ii) you will use the Platform and Services in full compliance with all applicable laws, rules, and regulations.

9. Privacy and Data Protection

By using the Services, you enable us or third parties to access, use, and collect information related to your use of the Services. Our practices concerning the collection, use, and disclosure of your information are addressed in our Privacy Policy, which is an integral part of these Terms and incorporated herein by reference. We encourage you to periodically review our Privacy Policy.

10. Third-Party Services and Partner Systems

Your use of a Partner's ecommerce system, including your account and the services therein, is governed by the Partner's terms and conditions and privacy policies. We highly recommend that you carefully review all such legal terms. Similarly, your use of any third-party AI agent (such as ChatGPT, Claude, Gemini, or others) is governed by that third party's terms and policies, over which we have no control.

You acknowledge that we have no control over, and assume no responsibility for, Partner Systems or third-party services and the offerings therein. You assume all responsibility and risk in connection with your use of Partner Systems or any content incorporated therein, and we hereby disclaim any and all liability to you or any third party in connection thereto. We have no obligation to examine, review, or monitor Partner Systems, and are not responsible for the accuracy, completeness, appropriateness, or legality of Partner Systems.

The availability of the Platform on Partner Systems shall not be construed in any manner as an endorsement, authorization, or approval of such Partner Systems, and you hereby waive any legal or equitable rights or remedies you have or may have against us with respect thereto.

11. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.

We do not warrant that:

• The Services will be uninterrupted or error-free
• Defects will be corrected
• The Services are free of viruses or harmful components
• The Services will meet your requirements
• Results obtained will be accurate or reliable

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PAZ.AI SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Lost profits, revenue, or business opportunities
• Loss or corruption of data
• Cost of substitute services

OUR AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF:

• One hundred U.S. dollars ($100)
• Amounts paid by you to Paz.ai in the 12 months preceding the claim

13. Indemnification

You hereby expressly agree to indemnify, defend, and hold us (including our affiliates, subsidiaries, successors, contractors, employees, directors, agents, suppliers, licensors, service providers, and partners) harmless from any and all claims, damages, obligations, losses, liabilities, costs, debts, and expenses (including but not limited to attorneys' fees) arising from: (i) your violation and/or breach of any term of these Terms; and (ii) any damage of any sort, whether direct, indirect, special, or consequential, that you may cause to any third party which relates to your use of the Services (including your violation of any third-party rights).

14. Termination

You may terminate your use of the Services at any time and for any reason by ceasing to use them.

We may terminate your access to or use of the Services at any time, with or without cause and with or without notice, effective immediately. Note that in the event a Partner has stopped using our Platform or removed it from its ecommerce system, the Platform will not be available for your use in connection with such Partner System, and we assume no responsibility or liability with respect to use of your account on the Partner System.

Upon termination, all licenses and other rights granted to you under these Terms will immediately cease. We are not liable to you or any third party for termination of the Services or termination of your use of the Services. The provisions of these Terms which by their nature should survive any such action on our part shall survive.

15. Dispute Resolution

Governing Law

These Terms are governed by the laws of the State of California, USA, without regard to conflict of law principles.

Jurisdiction and Venue

Any disputes not resolved informally shall be resolved exclusively in the state or federal courts located in San Francisco County, California. You consent to personal jurisdiction and venue in these courts.

16. Modifications to These Terms

We may, at our sole discretion, revise these Terms from time to time. The revised Terms shall be effective immediately upon their publication, as reflected under the "Last Updated" date heading. In the event of what we believe is a material amendment, we will make best efforts to provide applicable notification. Please review these Terms periodically.

17. General Provisions

These Terms constitute the entire understanding between the parties with respect to the use of the Services. If any provision of these Terms is held to be unenforceable, such provision shall be reformed only to the extent necessary to make it enforceable, and such decision shall not affect the enforceability of such provision under other circumstances, or of the remaining provisions hereof under all circumstances. Our failure to enforce any rights or to take action against you in the event of any breach hereunder shall not be deemed a waiver of such rights or of subsequent actions in the event of future breaches.

18. Assignment and Survival

These Terms and any right granted herein may not be assigned by you without our prior written consent. We may assign our rights under these Terms to any third party at our sole discretion. The provisions of these Terms which by their nature should survive termination or expiration shall survive, including, without limitation, provisions relating to intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution.
